These Terms & Conditions are entered into by and between Aegeus Bands LLC, an RFID Custom Credentials Company, and the customer purchasing RFID wristbands and related products and services (“Products”). By placing an order with Aegeus Bands, Customer agrees to be bound by these terms. Please read this Agreement carefully before placing an order.
**1. Product Orders and Acceptance**
1.1 Customer may place orders for Products through the Aegeus Bands’ website or directly with Aegeus Bands’ sales representatives.
1.2 All orders are subject to acceptance by Aegeus Bands. Aegeus Bands reserves the right to reject any order at its sole discretion.
1.3 Once an order is accepted, it is binding and cannot be canceled or modified without Aegeus Bands’ written consent.
**2. Pricing and Payment**
2.1 Prices for Products are as stated on the Aegeus Bands’ website or in official quotations provided to the Customer.
2.2 Payment terms are specified on the invoice. Payment must be made in full before the Products are shipped.
2.3 Customer is responsible for any applicable taxes, duties, or customs fees related to the purchase.
**3. Shipping and Delivery**
3.1 Aegeus Bands will make commercially reasonable efforts to deliver Products within the specified timeframe.
3.2 Customer bears the risk of loss or damage to Products upon delivery.
3.3 Shipping costs are the responsibility of the Customer, unless otherwise specified in writing.
**4. Product Specifications and Warranty**
4.1 Aegeus Bands warrants that the Products will conform to the specifications provided at the time of order.
4.2 Customer must inspect Products upon delivery and report any defects or discrepancies to Supplier within 7 days.
4.3 Supplier’s liability for defective Products is limited to replacement or repair of the defective Products.
4.4 Aegeus Bands does not warrant against normal wear and tear or damage caused by misuse, neglect, or unauthorized modification.
**5. Intellectual Property**
5.1 All intellectual property rights in the Products, including but not limited to designs, trademarks, and patents, remain the property of Aegeus Bands.
5.2 Customer shall not reproduce, modify, distribute, or reverse engineer any aspect of the Products without Supplier’s written consent.
**6. Confidentiality**
6.1 Both parties agree to keep confidential any non-public information exchanged during the course of the business relationship.
6.2 This confidentiality obligation extends beyond the termination of this Agreement.
**7. Limitation of Liability**
7.1 In no event shall Aegeus Bands be liable for any indirect, incidental, consequential, or special damages arising from the use of the Products.
7.2 Supplier’s liability for any claim related to this Agreement is limited to the total amount paid by Customer for the Products.
**8. Governing Law and Dispute Resolution**
8.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].
8.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
**9. Miscellaneous**
9.1 This Agreement constitutes the entire agreement between Supplier and Customer, superseding any prior agreements or understandings.
9.2 Any waiver of a provision of this Agreement must be in writing and signed by both parties.
9.3 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
By placing an order with Aegeus Bands, the customer acknowledges that they have read, understood, and agree to abide by these Terms & Conditions. This Agreement is effective as of the date of acceptance of the order
